1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and PatientFlo.com LLC ("PatientFlo," "we," "us," or "our") governing your access to and use of the PatientFlo website at https://patientflo.com, the PatientFlo application, and our related notifications and services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. What PatientFlo is
PatientFlo is a HIPAA-compliant platform that helps Provider Organizations exchange referrals, communicate securely, and notify patients about events in their care. Use of PatientFlo by a Provider Organization is also governed by a separate written agreement (including a Business Associate Agreement and any subscription or order terms). If that agreement conflicts with these Terms for that organization's use, the separate agreement controls.
3. Not for emergencies; not medical or legal advice
The Services are not for medical emergencies. If you are experiencing a medical emergency, call 911 or your local emergency number. PatientFlo is a communication and workflow tool; it does not provide medical, clinical, or legal advice, and using it does not create a provider-patient or attorney-client relationship with PatientFlo. Always rely on your treating providers and your own counsel for clinical and legal decisions.
4. Eligibility and accounts
You must be at least 18 years old to create an account. Provider Organization users must keep their credentials confidential and are responsible for activity under their accounts; notify us promptly of any unauthorized use. Patients typically access the Services through a secure, single-use link sent by SMS or email and verified by date of birth — keep these links private, as anyone with the link and your date of birth may view the related information.
5. Text messaging (SMS) terms
By providing your mobile number to your provider for PatientFlo notifications, you consent to receive transactional, care-related text messages from PatientFlo as described in our Privacy Policy. Message frequency varies based on activity in your care. Message and data rates may apply. Reply STOP to opt out at any time and HELP for help, or contact [email protected]. These messages are not marketing, and we do not share your mobile opt-in data with third parties for their marketing purposes.
6. Acceptable use
You agree not to:
access data or accounts that are not yours, or attempt to defeat tenant isolation, identity verification, or other security measures;
upload unlawful, infringing, or malicious content, or content you are not authorized to share;
use the Services to send spam or to harass, harm, or impersonate others;
scrape, reverse engineer, or copy the Services except as permitted by law; or
use the Services in violation of HIPAA, your professional obligations, or any applicable law.
7. Your content
You (or your Provider Organization) retain ownership of the messages, documents, and other content you submit ("Your Content"). You grant PatientFlo a limited license to host, process, transmit, and display Your Content solely to provide and secure the Services and as permitted by the applicable BAA and our Privacy Policy. You are responsible for having the rights and authorizations needed to submit Your Content.
8. Intellectual property
The Services, including all software, design, text, and trademarks (including the PatientFlo name and logo), are owned by PatientFlo or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services as intended. No other rights are granted.
9. Third-party services
The Services rely on third-party providers (such as messaging, email, hosting, and storage vendors) and may link to third-party sites. We are not responsible for third-party services or content, which are governed by their own terms.
10. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that messages will be delivered without delay or failure (SMS and email delivery depend on carriers and providers outside our control).
11. Limitation of liability
To the maximum extent permitted by law, PatientFlo and its members, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Services. Our total liability for any claim relating to the Services will not exceed the greater of (a) the amounts you paid us for the Services in the 12 months before the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless PatientFlo from claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Services, Your Content, or your violation of these Terms or applicable law, except to the extent caused by PatientFlo.
13. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination (including Sections 7–12, 14, and 16) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction, except where applicable law provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new effective date and, where required, provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
16. Miscellaneous
These Terms (with the Privacy Policy and any applicable Provider Organization agreement) are the entire agreement between you and PatientFlo regarding the Services. If any provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce any provision is not a waiver.
